Our corporate history contains several mergers and re-incorporations. We were originally organized under the laws of the State of Nevada on June 18, 1990 as CCC-Huntor Associates, Inc. and reincorporated in Texas under the name Aster Buzbuilders, Inc. in June 1995. We entered into a Plan of Reorganization and Merger in May 1996 to acquire all the capital stock of Vitatonics Corp., a Nevada corporation which had been incorporated in February 1995.

From December 1997 through June 2003 we were essentially inactive until we took the corporate name Rapid Bio Tests Corporation to engage in diagnostic tests that could be used to detect a variety of human diseases and conditions, and which would have utility in a variety of veterinary and agricultural products.

However, due to the sudden death of our late Chairman and Chief Executive Officer, Dr. Geoffrey Seaman, we discontinued the development of diagnostic tests and acquired Mirae Tech Company, Ltd., a Republic of Korea corporation, in December 2004 to engage in the manufacturing and marketing of far infrared conductive textile products. This acquisition was rescinded in April 2006 retroactively to the original agreement date.

In March 2007, the Company acquired Dai Dung Metallic Manufacture Construction – Trade Co., Ltd., a Vietnam-based company engaged in pre-engineered steel buildings. This transaction was terminated in November 2008 retroactively to March 2007.  In December 2008, the Company changed its name to PHI Mining Group, Inc. and acquired 100% of Indochina Mining Corporation, a Nevada corporation, which is engaged in the exploration for and acquisition of diatomite, lead, copper and granite properties in Southeast Asia. The Company is also investigating joint venture opportunities for diatomite mining and base metals in South America.
